Challenge: Due Diligence for the Acquisition of a European Company

As part of a competitive acquisition process for a European company, a telecom operator client asked Sofrecom to manage the Due Diligence of the operation, focusing on the coordination and support of the working groups.

Methodology: Coordination, Analysis, and Qualification of Synergies

In practical terms, we established governance to coordinate interactions with the seller, the investment bank, the lawyers, and the steering of the business working group. In addition to centralizing communications, we carried out a number of analyses (data room, management presentation, business risks and coverage, seller’s business plan, etc.) and qualified potential business synergies. The mission concluded with the drafting of the Due Diligence report.

Result: Clear Report on Performance and Business Risks

We provided a clear view of the company’s actual performance and capabilities, as well as its business risks and potential synergies. The concise and factual Due Diligence report served to prepare the Investment Committee.
